Terms of use

These terms are the agreement between you and 1843 Inc. for using Entitler: our website, dashboard, API and SDKs.

Last updated

1. Accepting these terms

These terms apply when you use the dashboard at entitler.app, the API at api.entitler.app or our SDKs (together, “the service”). You accept them when you create an account, when you use the service, or when you agree to an order form that refers to them. If you only visit our website at entitler.co, just the sections on acceptable use, our intellectual property, disclaimers, limitation of liability and governing law apply to you.

These terms are an agreement between you and 1843 Inc., a Delaware corporation in the United States that runs Entitler, which these terms call “Entitler”, “we”, “us” or “our”. If you use the service for a company or another body, you confirm that you have authority to bind it to these terms, and “you” includes it.

Our privacy policy explains how we handle personal information. If you and we sign an order form or another agreement about the service, it applies together with these terms. Where they conflict, the order form wins, then these terms, then the privacy policy.

2. Eligibility

Entitler is a service for businesses that build software. To use it, you must be 18 or older and use it for your business, not for personal, family or household purposes.

You confirm that you’re not located in a country subject to comprehensive United States sanctions, and that you’re not on a United States government list of restricted parties.

3. Accounts and API keys

When you have an account:

  • give us accurate details and keep them up to date
  • keep your password and API keys secret, and don’t share an account between people
  • tell us promptly if you think someone has used your account or keys without authorisation, through our contact page (choose “Security”) or at gday@entitler.co

You’re responsible for activity under your account and your API keys. Revoke a key as soon as you think it has been exposed.

4. Teams and members

Your team works in Entitler. Its owners and admins control its members’ access and which role each member has, and you’re responsible for its members following these terms.

Anyone with an invitation link can see the invitation without signing in, so treat invitation links like passwords.

5. Using Entitler in your software

Entitler tells your software each of your customers’ entitlements, based on the plans, grants and usage you record. You decide how your software acts on those answers.

  • Build your software to cope when Entitler can’t be reached or refuses a request, for example over a limit. Choose its behaviour then, such as using a cached answer or a safe default.
  • Check your plans and grants give the answers you expect before you rely on them.
  • If you connect a Stripe account, Entitler acts through it on your instructions and the plans and rules you set: it creates Stripe customers and Checkout sessions, charges plan changes to your customers’ subscriptions and cancels subscriptions. Stripe processes the money, and you remain the merchant: your prices, tax, refunds and agreements with your customers stay with you and your billing provider.

6. Plans and limits

Each team is on a plan. The plan sets the team’s features and limits, such as the number of projects, people and customers, the usage it can record and the rate of API requests. We may slow or refuse requests over a limit. Your plan and its limits are shown in the dashboard.

7. Fees and payment

Some plans are free. For a paid plan, the price, billing period and the plan’s features and limits are shown when you choose it, or in your order form.

  • Paid plans are billed in advance for each billing period and renew automatically for the same period until you cancel. To cancel, contact us or use the dashboard where it lets you. Cancelling stops the next renewal; your plan stays active until the end of the period you’ve paid for.
  • By choosing a paid plan, you authorise us and our payment provider to charge your payment method for each period’s fees.
  • Fees don’t include taxes. You pay any sales, use, value added, goods and services or similar taxes on them, other than taxes on our income.
  • Fees aren’t refundable, including for part of a period, except where these terms say otherwise or the law requires.
  • We’ll give you at least 30 days’ notice of a price change. It applies from your next billing period after the notice ends.
  • If a payment fails and isn’t fixed within 14 days of our notice, we may move your team to a free plan or suspend paid features until it is.
  • If we invoice you, pay within 30 days of the invoice date unless your order form says otherwise.
  • Tell us about a disputed charge within 60 days of it. After that, the charge stands unless the law says otherwise.

8. Free plans and preview features

We may change or end a free plan with at least 30 days’ notice. Features we label as early access, beta or preview are still being built: they may change or be withdrawn at any time, and we provide them “as is”.

9. Your data

Your data is the information you and your members put into Entitler, including information about your own customers and the usage you record. You keep ownership of it.

You give us a non-exclusive, worldwide licence to host, copy, process and display your data only to provide, secure and support the service for you, and as these terms and our privacy policy describe.

You’re responsible for your data: for having the rights and giving the notices needed to share it with us, and for its accuracy. Don’t put sensitive information in it, such as health information, government identifiers or financial account details.

10. Personal information in your data

When your data includes personal information about your customers or users, you decide why and how it’s processed, and we process it for you. In particular:

  • We use it only to provide the service, following your instructions as given through your use and settings of the service and these terms, unless the law requires otherwise. We don’t sell it, use it for advertising or use it for our own purposes.
  • Everyone we allow to handle it is bound to keep it confidential.
  • We protect it with appropriate technical and organisational measures, including those described in our privacy policy.
  • We use service providers to run Entitler, listed in our privacy policy. We’ll tell you by email or in the dashboard at least 14 days before a new one starts handling your data. If you object on reasonable grounds and we can’t address it, you can close your account and we’ll refund fees you’ve paid for the time left.
  • If we become aware of a breach affecting it, we’ll tell you without undue delay, with the information you need to meet your own obligations.
  • We’ll help you respond to requests from people about their information, where you can’t do so yourself through the service.

When you delete something in the dashboard, it stops being used straight away; we keep the record so plan history stays accurate until you ask us to remove it. We’ll give you the information you reasonably need to show that this processing meets your obligations. If a law that applies to you requires a specific data processing agreement, including for transfers to the United States, contact us and we’ll work with you to put one in place.

11. Service data

We collect information about how you and your members use Entitler itself, such as API request counts, which parts of the dashboard and API you use, and errors. It doesn’t include the contents of your data. We use it to run, secure, support, bill for and improve the service, and we may publish statistics from it that don’t identify you, your users or your customers.

12. Acceptable use

When you use Entitler, don’t:

  • use it for anything unlawful, harmful, infringing or deceptive
  • upload or spread malware
  • probe, scan or test it for vulnerabilities without our written permission
  • bypass limits, API keys or access controls
  • overload or disrupt it, or interfere with other customers’ use of it
  • scrape the dashboard
  • resell or sublicense access without our agreement
  • copy it or use our materials to build a competing product
  • use it in breach of export control or sanctions laws

If you find a security issue, please report it through our contact page and choose “Security”.

13. Confidentiality

Each of us may share information with the other that isn’t public, such as your data, our non-public product plans, pricing in an order form or security details. The receiving party will use it only for these terms, protect it at least as carefully as its own confidential information, and share it only with people needing it for these terms and bound to keep it confidential.

This doesn’t apply to information that’s public through no fault of the receiver, that the receiver already had or developed independently, or that it obtained lawfully from someone else. If the law requires the receiver to disclose it, the receiver will tell the other first where the law allows.

14. Our intellectual property

We own Entitler, including the website, software, SDKs, documentation and branding. Your data isn’t ours.

While these terms apply, we give you a limited, non-exclusive and non-transferable right to use the service for your business in line with them. If we publish code, such as an SDK, under an open-source licence, that licence applies to that code.

We won’t use your name or logo to promote Entitler without your permission.

15. Feedback

If you send us feedback or suggestions, we may use them freely, without any obligation to you.

16. Third-party services

When you connect Entitler to another service, such as an identity provider, that service’s own terms apply to your use of it. You authorise us to exchange data with it as you set up. We’re not responsible for services we don’t run.

We’re not responsible for third-party websites we link to.

17. Availability, support and changes

We work to keep Entitler available, but we don’t guarantee that it will be uninterrupted or error-free. Service levels apply only if an order form says so.

For help, use our contact page or email gday@entitler.co.

We improve Entitler continually and may change its features. We’ll give you at least 30 days’ notice before removing a feature you use or changing the API in a way that isn’t backward compatible, unless security or the law needs a faster change.

18. Term, suspension and termination

These terms apply from when you accept them until you close your account and any team in Entitler that you own, or until either of us ends them as below. You can stop using Entitler at any time. To close your account, ask us through our contact page or at gday@entitler.co.

We may suspend your access, in whole or in part:

  • if your use puts the security of the service or other people at risk
  • for a breach of the acceptable use rules
  • for unpaid fees, as described under fees and payment
  • when the law requires it

We’ll tell you why unless the law prevents it, give notice beforehand where it’s reasonable, and restore access once the reason has been dealt with, unless we end these terms for it.

Either of us may end these terms if the other materially breaches them and doesn’t fix the breach within 30 days of being told about it. We may also close your account straight away for a serious breach of the acceptable use rules. If we stop offering Entitler altogether, we’ll give you at least 60 days’ notice and refund fees you’ve paid for the time left.

We keep your data after your account closes until you ask us to delete it. You can ask us for a copy of it, or to delete or de-identify it, at any time. We handle these requests by hand within 30 days, and keep only the data we need to meet a legal obligation, resolve a dispute or enforce these terms. Sections that by their nature should continue after these terms end will continue, including fees owed, confidentiality, our intellectual property, disclaimers, your indemnity, limitation of liability and governing law.

19. Your rights under consumer law

Consumer protection laws where you live may give you guarantees, rights or remedies that can’t lawfully be excluded, restricted or modified. Nothing in these terms excludes, restricts or modifies them.

Where those laws allow, our liability for failing to meet such a guarantee is limited to supplying the services again or paying the cost of having them supplied again.

20. Disclaimers

Each of us confirms that it can enter into these terms. Except as these terms or an order form expressly say, and apart from your rights under consumer law, we provide Entitler “as is” and, to the extent the law allows, make no other promises about it, including that it’s fit for a particular purpose.

21. Your indemnity

You’ll defend us against claims by others arising from your data, your software or your breach of these terms, and pay the losses, damages, settlements and reasonable legal costs that result.

We’ll tell you promptly about such a claim, let you control its defence and settlement, and give reasonable help at your cost. You may not settle in a way that admits fault for us without our consent.

22. Limitation of liability

To the extent the law allows, we’re not liable to you for indirect or consequential loss, or for lost profits, revenue, goodwill or data, however it arises.

To the extent the law allows, our total liability to you under or in connection with these terms is no more than the greater of 100 United States dollars and the fees you paid us in the 3 months before the event that gave rise to the claim.

These limits don’t apply to liability the law doesn’t allow to be limited, such as for fraud.

23. Changes to these terms

We’ll give you at least 30 days’ notice of material changes to these terms, by email or in the dashboard, and update the “last updated” date.

If you keep using Entitler after a change takes effect, you accept the updated terms. If you don’t agree, stop using Entitler before then; if you’re on a paid plan, we’ll refund fees you’ve paid for the time left.

24. Governing law and disputes

If a dispute arises, contact us first and we’ll both try in good faith to resolve it within 30 days. Either of us may still seek urgent relief from a court at any time.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. You and we submit to the non-exclusive jurisdiction of the state and federal courts in Delaware.

This doesn’t limit any rights you have under laws that apply where you live and can’t be excluded, including your rights under consumer law.

25. General

  • These terms, any order form and our privacy policy are the entire agreement between you and us about Entitler.
  • Neither of us may assign these terms without the other’s consent, except to a successor to all or most of its business or assets, as long as the successor takes on these terms.
  • Neither of us is liable for a delay or failure caused by events beyond its reasonable control, such as a natural disaster, war, an outage at an internet or hosting provider, or a government action. This doesn’t excuse paying fees.
  • We’ll send notices to the email address on your account or show them in the dashboard. Send notices to us at gday@entitler.co.
  • We’re independent parties, and these terms give no rights to anyone else.
  • If any part of these terms can’t be enforced, the rest still applies.
  • If either of us doesn’t enforce a right straight away, that doesn’t mean we’ve given it up.
